1. Acceptance of Terms

By accessing and using AutoDeal Canada, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and AutoDeal Canada. Your continued use of the platform after any modifications to these terms constitutes acceptance of the revised terms. We encourage you to review these terms periodically to stay informed of any changes that may affect your rights and obligations.

2. Use of Services

AutoDeal Canada provides a platform for searching and comparing vehicle listings from dealers and private sellers across Canada. Our services include vehicle search, price comparisons, market reports, and vehicle evaluations. You agree to use our services only for lawful purposes and in accordance with these terms. You must not use our services in any way that could damage, disable, or impair the platform.

Prohibited Uses:

• Scraping, crawling, or using any automated means to access, extract, or collect data from the platform without our prior written consent. This includes the use of bots, spiders, scripts, or any other automated tools designed to harvest vehicle listings, pricing data, or user information.
• Using the platform or any content obtained from it for commercial purposes, including reselling vehicle data, replicating listings on other platforms, or creating competing services, without express written permission from AutoDeal Canada.
• Harassing, threatening, intimidating, or sending unsolicited communications to dealers, private sellers, or other users of the platform. Any form of abusive behavior toward other users, including but not limited to discriminatory language, fraudulent inquiries, or repeated unwanted contact, is strictly prohibited.
• Attempting to gain unauthorized access to any portion of the platform, other users' accounts, or any systems or networks connected to our servers through hacking, password mining, or any other illegitimate means.

3. User Accounts

To access certain features of AutoDeal Canada, you may be required to create an account. You can register using your email address or through Google authentication. When creating an account, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the accuracy of your account information and must promptly update any changes to your personal details, including your name, email address, and phone number.

You are solely responsible for safeguarding the password and credentials associated with your account. You must not share your login information with any third party. You agree to notify AutoDeal Canada immediately of any unauthorized use of your account or any other breach of security. AutoDeal Canada shall not be liable for any loss or damage arising from your failure to protect your account credentials.

AutoDeal Canada reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we reasonably believe that you have violated these Terms of Service, engaged in fraudulent activity, or if your account has been inactive for an extended period. Upon termination, your right to use the platform will immediately cease, and any data associated with your account may be deleted in accordance with our Privacy Policy.

4. Vehicle Listings

AutoDeal Canada allows dealers and private sellers to publish vehicle listings on the platform. All listings constitute user-generated content and must comply with these terms. By posting a listing, you represent and warrant that all information provided, including vehicle make, model, year, mileage, condition, price, and photographs, is accurate, truthful, and not misleading. You must disclose all known material defects, accident history, and any liens or encumbrances on the vehicle.

The following content is strictly prohibited in vehicle listings: fraudulent or deceptive listings for vehicles that do not exist or are materially different from their description; listings for stolen vehicles or vehicles with salvage titles that are not clearly disclosed; content that infringes on the intellectual property rights of others, including unauthorized use of manufacturer images or trademarks; and any content that is obscene, defamatory, or otherwise objectionable.

AutoDeal Canada reserves the right to remove, modify, or refuse to publish any listing at its sole discretion, without prior notice. We may remove listings that violate these terms, that we believe to be fraudulent, or that have been flagged by other users. Repeated violations may result in permanent suspension of your account and listing privileges. Private sellers are entitled to three (3) free vehicle listings; additional listings may require a paid plan.

5. Dealer Partnerships

AutoDeal Canada offers dealer subscription plans that provide enhanced visibility, unlimited vehicle listings, analytics dashboards, and priority placement in search results. By subscribing to a dealer plan, you agree to the terms specific to your subscription tier, including the monthly subscription fee of $99 CAD per month, billed through Square. Dealer accounts require verification of business credentials, including a valid dealer license issued by the applicable provincial authority.

As a dealer partner, you are obligated to maintain the accuracy of all vehicle listings at all times. Listings must be updated or removed within 48 hours of a vehicle being sold or becoming unavailable. Dealers must respond to buyer inquiries in a timely and professional manner. AutoDeal Canada reserves the right to downgrade, suspend, or terminate dealer accounts for violations of these obligations, including persistent listing inaccuracies, failure to respond to buyer inquiries, or any conduct that harms the reputation of the platform.

6. Payment Terms

Dealer subscriptions are billed on a monthly cycle at a rate of $99 CAD per month, processed securely through Square payment processing. By subscribing, you authorize AutoDeal Canada to charge your designated payment method on each billing date. All prices are listed in Canadian dollars and are subject to applicable taxes, including GST/QST in Quebec. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Refunds are handled on a case-by-case basis. If you cancel your dealer subscription within the first 14 days and have not actively used the premium features, you may be eligible for a full refund. After the 14-day period, no refunds will be issued for the current billing cycle, but your subscription will remain active until the end of that cycle. AutoDeal Canada reserves the right to modify subscription pricing with 30 days prior written notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

7. Accuracy of Information

While we strive to provide accurate and up-to-date information, we cannot guarantee the accuracy, completeness, or reliability of any vehicle listings, prices, or evaluations. Vehicle information is provided by dealers, private sellers, and third-party sources and may contain errors. AutoDeal Canada makes reasonable efforts to verify listings but does not independently inspect or verify the condition, mileage, title status, or any other aspect of listed vehicles. Users are strongly encouraged to independently verify all vehicle information before making any purchasing decision.

8. Limitation of Liability

AutoDeal Canada is not responsible for any transactions between buyers and sellers. We do not sell vehicles directly and are not a party to any vehicle purchase agreement. We are not liable for any damages arising from the use of our services or reliance on information provided on our platform. In no event shall AutoDeal Canada, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of or in connection with your use of the platform.

9. Disclaimers

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AutoDeal Canada expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

AutoDeal Canada makes no warranty regarding the accuracy, reliability, or completeness of any vehicle information displayed on the platform, including but not limited to vehicle prices, mileage, condition, history, or availability. We are not responsible for and do not endorse any dealer or private seller on the platform. Any transactions conducted between users are entirely at their own risk. We strongly recommend that buyers conduct independent inspections, obtain vehicle history reports (such as CARFAX), and verify all information before completing any purchase.

10. Indemnification

You agree to indemnify, defend, and hold harmless AutoDeal Canada, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of or access to the platform; (b) your violation of these Terms of Service; (c) your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or any applicable law; (d) any content you submit, post, or transmit through the platform, including vehicle listings; or (e) any fraudulent, misleading, or unlawful activity conducted through your account. This indemnification obligation shall survive the termination of your account and these Terms of Service.

11. Intellectual Property

All content on AutoDeal Canada, including text, graphics, logos, icons, images, audio clips, data compilations, and software, is the property of AutoDeal Canada or its licensors and is protected by Canadian and international intellectual property laws, including the Copyright Act (R.S.C., 1985, c. C-42) and the Trademarks Act (R.S.C., 1985, c. T-13). You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the platform without our prior written consent.

12. Changes to Terms

AutoDeal Canada reserves the right to modify, amend, or replace these Terms of Service at any time and at its sole discretion. When we make material changes to these terms, we will notify you by posting the updated terms on the platform with a revised "Last updated" date, and where appropriate, by sending a notification to the email address associated with your account. It is your responsibility to review these terms periodically. Your continued use of the platform following the posting of revised terms means that you accept and agree to the changes. If you do not agree to the modified terms, you must discontinue your use of the platform and close your account.

13. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction located in the judicial district of Montreal, Quebec, Canada. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to the venue of such proceedings.

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in any class action lawsuit or class-wide arbitration against AutoDeal Canada. If any provision of this class action waiver is found to be unenforceable, the entirety of this dispute resolution section shall be deemed void, and the dispute shall be decided by a court of competent jurisdiction in Montreal, Quebec.
